1. PUBLISHER'S IDENTITY

2. PURPOSE OF THE T&C-S

The purpose of these conditions is to define:

• the terms of use of the Investminder platform by any user, whether subscriber or not;
• the contractual conditions for subscribing to paid services (Subscription).

By accessing Investminder.com, you acknowledge having read these T&C-S.

3. DEFINITIONS

• Platform

  The website and its online services available at Investminder.com.

• User

  Any person who has created a personal account on the Platform.

• Subscription

  A paid offer providing access to certain features of the Platform.

• Aggregator Partners

  Third-party services (Snaptrade and Powens) allowing secure, read-only connection to the User's financial accounts.

• Investminder's Pre-built Strategies

  The specific configurations and combinations of investment strategies developed by Investminder, distinct from theoretical financial models.

4. ACCESS TO THE SITE AND SERVICES

Access to Investminder.com is free. The use of certain features and services requires the creation of a personal account and, where applicable, subscribing to a Subscription.
Access and use of the Platform may require a high-speed internet connection and a compatible web browser whose specifications may be updated by Investminder.

5. USER ACCOUNT CREATION

The User must:

• be at least 18 years old;
• provide a valid email address;
• expressly accept these T&C-S.

6. DESCRIPTION OF SERVICES

6.1. Dashboard

Centralization and visualization of the User's stock market and financial assets.

6.2. Strategy Tools

Creation of personalized strategies and use of models offered by the Platform.

6.3. Analysis and Optimization

Features for research, evaluation, simulation, and comparison of financial assets.

6.4. Aggregation via Third-Party Services

Possible connection to the User's financial accounts via certified third-party services Snaptrade and Powens in read-only and secure manner (in accordance with PSD2 or equivalent).

7. SUBSCRIPTION AND SALES CONDITIONS

7.1. Price and Payment

The Subscription price is indicated in Euros (€) for customers located in the European Union and in US Dollars ($) for other customers, all taxes included (TTC) according to the User's location. The applicable currency is determined based on the billing address provided by the User.

Payment is made monthly or annually via Stripe services by credit card (accepted card types: [Visa, Mastercard, etc.], SEPA direct debit).

7.2. Duration, Renewal, and Termination

Subscriptions are for a monthly or annual term, depending on the User's choice, and are automatically renewable for the same term on the due date, unless terminated by the User before this date.

The User can cancel their Subscription at any time via their account management interface. The cancellation procedure will be clearly indicated in the user interface. The User will receive a confirmation that their cancellation has been taken into account.

No refund will be issued for the Subscription period already commenced at the time of cancellation.

7.3. Right of Withdrawal (European Users)

In accordance with Directive 2011/83/EU on consumer rights, users residing in the European Union have a 14-day right of withdrawal from the date of subscribing to a paid subscription.

However, this right is voided if the user:

• expressly requests the immediate performance of the service, and
• expressly acknowledges that they waive their right of withdrawal.

This dual consent is explicitly collected at the time of subscription.

7.4. Refund Policy

No refund will be issued after the start of a Subscription month, except in the event of a serious breach by Investminder of its essential obligations. For annual Subscriptions, in case of early termination by the User outside the withdrawal period (and outside of a serious breach by Investminder), no proportional refund will be issued for the unused period.

7.5. Price Changes

Investminder reserves the right to change its Subscription prices at any time. Any price change will be notified to the User by email or via a notification on the Platform at least thirty (30) days before its effective date. The User will have the option to terminate their Subscription if they refuse the new prices, with such termination taking effect on the end date of the current Subscription period. Failing termination by the User before this date, the new prices will be considered accepted for the next renewal period.

7.6. Payment Delay or Failure

In case of payment default at maturity, particularly due to a bank rejection, insufficient balance, or expired card, Investminder reserves the right to:

• a. Automatic switch to free plan

  The User's access to the Platform will be automatically downgraded to the free plan, regardless of the initial subscription formula. This measure will take effect after an unsuccessful reminder attempt to the User and will remain in force until the situation is fully regularized. An email notification will be sent to the User for this purpose.

• b. Automatic recovery attempts

  Investminder may make new direct debit attempts via Stripe in the days following the initial failure, unless otherwise indicated by the User or deactivation of their account.

• c. Consequences of termination for non-payment

  No refund will be issued for the already paid Subscription period, even if partially used.

The User remains liable for all sums due on the termination date, which may be subject to amicable or judicial recovery procedures.

• d. Updating payment information

  It is the User's responsibility to ensure that the payment information associated with their account is always valid and up-to-date. Investminder cannot be held responsible for the consequences of a payment failure linked to User negligence.

8. INTELLECTUAL PROPERTY

All elements of the Platform, including source code, databases, Investminder's Pre-built Strategies, tools, graphic identity, logos, trademarks, and branding, are protected under copyright law, trademark law, and other intellectual property rights. Investminder retains all of its intellectual property rights over these elements. Any reproduction, representation, modification, distribution, commercial exploitation, or use in any manner whatsoever of these elements, without the prior written authorization of Investminder, is strictly prohibited and constitutes an infringement liable to legal prosecution. A limited, non-exclusive, and non-transferable license to use is granted to the User to access and use the Platform and its services in accordance with these T&C-S for the duration of their Subscription.

9. PERSONAL DATA PROTECTION (See detailed Privacy Policy)

Investminder attaches great importance to the protection of its Users' personal data. Information regarding the collection, processing, retention, security, and User rights concerning their personal data is detailed in our Privacy Policy, which constitutes a separate document and is accessible [link to Privacy Policy].

9.1. Nature of Processed Data

The categories of personal data we may process include: email address, user IDs, data related to financial accounts aggregated via our Aggregator Partners, and Platform usage history.

9.2. Data Retention and Deletion

The User's personal data is retained as long as their account is active, then for a maximum period of two (2) years after its termination, for legal, accounting, and dispute management purposes. In addition, your data may be archived for evidentiary purposes for a period of 5 years.

In accordance with applicable personal data protection regulations — notably the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA/CPRA), and the Canadian law PIPEDA/LPRPDE — the User may at any time:

• access their data,
• request their rectification or deletion,
• withdraw their consent,
• or object to certain processing.

Requests can be sent according to the terms specified in our [Privacy Policy].

Certain residual data may be temporarily retained in our technical backups, securely and inaccessible to operational processing, for a limited period. No discriminatory treatment will be applied towards a User exercising their rights.

9.3. Security

Investminder implements appropriate technical and organizational security measures to protect Users' personal data against unauthorized access, use, disclosure, modification, or destruction. Bank identifiers are never accessible or stored by Investminder. Connections to Users' financial accounts only pass through certified third-party services compliant with current security standards (such as PSD2 and ACPR regulations for European aggregators). 10. RESPONSIBILITY AND LEGAL DISCLAIMER

10.1. Absence of Personalized Advice

The Investminder Platform is an online decision support service intended for individual investors, providing them with access to analysis, comparison, and simulation tools for financial strategies.

These services are provided for strictly informational and educational purposes. They do not constitute:

• investment advice within the meaning of applicable regulations;
• a personalized recommendation to buy, sell, or hold financial instruments;
• a discretionary management service or individualized wealth management advice.

The User remains solely responsible for their investment decisions and retains full responsibility for their allocation choices, asset selection, and portfolio management.

It is their responsibility to ensure the relevance of the analyses carried out via the Platform according to their personal situation, financial objectives, risk tolerance, and, if necessary, to seek a licensed professional for specific support.

10.2. Limitations of Liability

Investminder strives to provide a functional, reliable, and regularly updated Platform. However, within the limits permitted by law:

Investminder does not guarantee the accuracy, completeness, or relevance of financial data, simulations, indicators, or results generated via its tools.

Investminder cannot be held liable for any direct or indirect loss, financial or otherwise, including but not limited to: loss of capital, loss of profits, misinterpretation, poor investment decision.

The User uses the Platform at their own risk, with full knowledge of the general and non-contractual nature of the data presented.

In particular, any decision to buy or sell a financial instrument based on an analysis carried out via the Platform is the sole responsibility of the User, even if this decision was influenced by an investment scenario, an automatic suggestion, a financial score, or a comparison proposed by an integrated tool.

• temporary inability to access the Platform;
• bugs or display errors;
• incomplete data from third-party sources (e.g., financial information feeds);
• nor the consequences of inappropriate use of functionalities by the User.

10.3. Service Level Guarantee

Investminder undertakes to ensure the continuity, availability, and quality of access to the Platform and its services, under the best possible performance and security conditions.

Availability Commitment

Investminder implements all reasonable means to maintain uninterrupted access to the Platform, 24 hours a day, 7 days a week, except in cases of force majeure, unforeseeable breakdown, or maintenance operations necessary for the proper functioning and evolution of the service.

To minimize the impact on user experience, planned maintenance operations are generally carried out during weekends and public holidays, outside of financial market opening hours. Investminder undertakes to inform Users in advance of these operations, except in urgent cases requiring immediate intervention.

Due to limited human resources, Investminder cannot currently guarantee a formal Service Level Agreement (SLA). Therefore, no specific contractual commitment regarding availability, response time, or incident resolution is provided. Investminder will nevertheless strive to maintain optimal service quality and react promptly in case of malfunction.

Technical Limitations

Given the specificities of the Internet network and third-party infrastructures (operators, hosts, CDNs, etc.), Investminder cannot guarantee absolute availability of the Platform. Its responsibility is therefore limited to the proper functioning of its own servers and IT infrastructures, whose external limits are defined by the connection points to the Internet.

Investminder cannot be held responsible for:

• slowdowns or outages related to global Internet network congestion;
• interruptions due to the User's Internet service providers;
• defects or limitations of mobile or Wi-Fi coverage;
• technical failures of third-party providers (e.g., cloud providers, authentication gateways, or financial data aggregation providers).

Maintenance and Technical Evolutions

Investminder reserves the right to temporarily restrict access to all or part of the Platform to perform updates, improvements, or technical maintenance operations. In this case, Investminder undertakes to:

• Schedule its interventions during weekends and public holidays, a period during which stock markets are closed.
• minimize the duration of the interruption as much as possible;
• preserve the integrity of user data, notably through regular backups.

The User acknowledges that certain functionalities or access to Platform modules may be temporarily disabled without constituting a contractual breach.

Third-Party Services

When certain functionalities are made possible by third-party services integrated into the Platform (data aggregation, APIs from financial information providers, statistical calculations, etc.), Investminder only guarantees the proper functioning of the integration, without guaranteeing the service level provided by these partners.

Any failure of these connectors falls exclusively under the general terms of service of these providers, independently accepted by the User where applicable.

Liability in case of interruption

In case of temporary unavailability of the Platform, Investminder cannot be held responsible for indirect losses, commercial damages, or loss of earnings. Any potential direct liability is governed by Article 10.2 – Limitations of Liability of these T&C-S.

The temporary interruption of services for maintenance or incident cannot under any circumstances justify an early termination of the contract, a payment suspension, or a claim for compensation, unless otherwise stipulated herein.

11. PROHIBITED USES

The User is strictly prohibited from:

• reselling, sublicensing, or otherwise transferring access to the Platform or their Subscription to third parties;
• attempting to decompile, reverse engineer, extract, or reproduce the Platform's algorithms, source code, or trade secrets;
• using the Platform for fraudulent, illicit, harmful purposes, or in violation of these T&C-S and applicable laws;
• disrupting or attempting to disrupt the normal operation of the Platform or the computer systems of Investminder or its partners.
• maliciously over-exploiting Investminder's system resources

12. ACCOUNT TERMINATION BY THE USER

The User may close their personal account at any time via the functionality provided for this purpose in their account management interface. Account closure will result in the cessation of access to services, without the right to a refund for the current Subscription period (if any).

13. ACCOUNT SUSPENSION OR DELETION BY INVESTMINDER

Investminder reserves the right to temporarily suspend or permanently delete, without prior notice or compensation, any User account in case of violation of these T&C-S, illicit behavior, or for any other legitimate reason, particularly in case of suspected fraudulent activity or endangerment of the security of the Platform or other Users.

14. LINKS AND THIRD-PARTY SERVICES

The Platform may contain hyperlinks to websites or services provided by third parties. Investminder has no control over these third-party sites and services and disclaims all responsibility for their content, operation, personal data protection practices, or any consequences of their use by the User. The User acknowledges that their use of third-party services is subject to the general terms and conditions and privacy policies specific to these third parties.

15. MODIFICATIONS TO THE T&C-S

Investminder reserves the right to modify these T&C-S at any time, in order to adapt them to the evolution of the Platform, its services, legislation, or for any other legitimate reason. Users will be informed of any substantial modification by email or via a notification on the Platform at least thirty (30) days before their effective date. Continued use of the Platform after the effective date of the modifications will constitute acceptance of the new T&C-S by the User. In case of disagreement with the modifications, the User has the option to terminate their account in accordance with Article 12.

16. APPLICABLE LAW AND JURISDICTION

This contract is governed by the law of the State of Wyoming.

However, if you are a consumer residing in another country, you also benefit from the protection of the mandatory provisions of the law of your country of residence.

In case of dispute, the courts of the State of Wyoming will have jurisdiction, without prejudice to your right, as a consumer, to initiate proceedings before the courts of your place of residence.

Data Security at Investminder

At Investminder, the security of your data is a top priority. We implement high security standards to ensure the confidentiality, integrity, and availability of your personal and financial information.

18.1. Infrastructure and Hosting

Secure Servers

Our services are hosted by a globally recognized cloud provider known for its security, Google Cloud Platform (GCP). This provider is certified for the following standards:

• ISO 27001 (information security management),
• SOC 1, SOC 2, and SOC 3,
• PCI DSS (payment security),
• GDPR (European compliance),
• FedRAMP (U.S. government compliance).

Redundancy and High Availability

Our infrastructures are geographically distributed to ensure fault tolerance, service continuity, and disaster recovery.

18.2. Data Encryption

Data in Transit

All communications between your browser and our servers are encrypted using HTTPS (TLS 1.2 minimum). This prevents any third party from intercepting or modifying the exchanged data.

Data at Rest

Stored data is encrypted using AES-256 algorithms, a standard used by governments and financial institutions.

Personal Data

Investminder does not directly store its users' personal data. This data is managed and hosted by specialized third-party providers:

• Auth0: responsible for managing user authentication and identity. Personal information necessary for authentication is securely stored in their cloud infrastructure, in accordance with current security standards.
• Stripe: responsible for payment processing. Payment data and associated personal information are retained in accordance with regulatory requirements, particularly regarding anti-money laundering and combating terrorist financing.

Investminder only retains the technical identifiers necessary for the Platform's operation, such as user IDs and transaction references, without including sensitive or personal data.

18.3. Secure Connection to Your Bank Accounts

Read-Only Access

Investminder can never make transfers, direct debits, or any action on your financial accounts. When you connect your accounts, access is strictly read-only.

Authorized Partners

We only work with regulated financial aggregators, compliant with the European Payment Services Directive (PSD2):

• Powens, approved by ACPR-Banque de France,
• Snaptrade, registered with US authorities,

Your bank credentials are never stored or visible by Investminder. They are transmitted encrypted directly to our partners, who ensure authentication via a secure interface.

18.4. Account Authentication and Protection

Secure Connection

Access to your account on the Investminder Platform is secured and managed via the Auth0 service, which handles user authentication and authorization. Available login methods include:

• Unique identifier (email) and encrypted password: Passwords are stored securely and non-reversibly.
• Two-factor authentication (2FA): Recommended for all users, this method adds an extra layer of security.
• Social media login: Users can log in using their existing accounts with identity providers such as Google or Facebook, through Auth0's social login features.

18.5. Application Security

Code Review & Security Testing

Our engineers follow security best practices from the platform's design phase (Security by Design principle). Each software version undergoes:

• automated tests,
• vulnerability analyses (static/dynamic scanning),
• manual code reviews.

We specifically follow the recommendations of the OWASP Top 10, a global standard for application security.

18.6. Internal Access Management

Minimum Access

Only employees with a justified need have access to your data, according to the principle of least privilege.

Rigorous Access Controls

Internal accesses are logged, regularly audited, and protected by:

• strong authentication,
• centralized identity management,
• automatic revocation of accesses upon departure or change of position.

18.7. Legal and Regulatory Compliance

We comply with all applicable data protection regulations:

Your rights of access, rectification, erasure, or data portability can be exercised at any time according to the terms specified in our Privacy Policy.
